| 11 1. SUBJECT OF AGREEMENT. USB Server for Linux (hereinafter "the Software") | |
| 12 provides remote access to any supported USB device from the client machine, | |
| 13 which can be either physical or virtual. Also multiple devices can be | |
| 14 accessed simultaneously. However if a USB device is already occupied by | |
| 15 some client, it can not be connected to another client until the first one | |
| 16 releases the device. | |

| 18 2. GENERAL USE. As long as you comply with the terms of this End User | |
| 19 License Agreement, IncentivesPro grants you the right to use the Software | |
| 20 free of charge for personal, corporate, academic or evaluation purposes. | |
| 21 | |
| 22 3. COPYRIGHT. The Software is protected by copyright laws and international | |
| 23 treaty provisions. You acknowledge that no title to the intellectual | |
| 24 property in the Software is transferred to you. You further acknowledge | |
| 25 that title and full ownership rights to the Software will remain the | |
| 26 exclusive property of IncentivesPro and you will not acquire any rights to | |
| 27 the Software. You agree that any copies of the Software will contain the | |
| 28 same proprietary notices which appear on and in the Software. | |
| 29 | |
| 30 4. TRANSFER. You may distribute the Software freely without charge as long | |
| 31 as it remains whole in the original form including but not limited to | |
| 32 existing copyright notices, installation and setup utilities, help files, | |
| 33 licensing agreements, run-time libraries, etc. The Software is not to be | |
| 34 distributed as a part of bundle with any other commercial or non-commercial | |
| 35 products without prior approval from IncentivesPro. | |

| 37 5. RESTRICTIONS. You may NOT decompile, disassemble, otherwise reverse | |
| 38 engineer the Software, or any part of it. Any such unauthorized use shall | |
| 39 result in immediate and automatic termination of this license and may | |
| 40 result in criminal and/or civil prosecution. Any use of the Software which | |
| 41 is illegal under international or local law is forbidden by this licence. | |
| 42 Any such action is the sole responsibility of the person committing the | |
| 43 action. | |

| 45 6. NO OTHER WARRANTIES. IncentivesPro does not warrant that the Software is | |
| 46 error free. IncentivesPro disclaims all other warranties with respect to | |
| 47 the Software, either express or implied, including but not limited to | |
| 48 implied warranties of merchantability, fitness for a particular purpose and | |
| 49 non-infringement of third party rights. Some jurisdictions do not allow the | |
| 50 exclusion of implied warranties or limitations on how long an implied | |
| 51 warranty may last, or the exclusion or limitation of incidental or | |
| 52 consequential damages. So the above limitations or exclusions may not apply | |
| 53 to you. This warranty gives you specific legal rights and you may also have | |
| 54 other rights which vary from jurisdiction to jurisdiction. | |

| 56 7. SEVERABILITY. In the event of invalidity of any provision of this EULA, | |
| 57 the parties agree that such invalidity shall not affect the validity of the | |
| 58 remaining portions of this EULA. | |

| 60 8. NO LIABILITY. IN NO EVENT SHALL IncentivesPro OR ITS SUPPLIERS BE LIABLE | |
| 61 TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF | |
| 62 ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE OR USE OF THE SOFTWARE, | |
| 63 EVEN IF IncentivesPro HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. | |
| 64 IN NO EVENT WILL IncentivesPro LIABILITY FOR ANY CLAIM, WHETHER IN | |
| 65 CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE | |
| 66 PAID BY YOU, IF ANY. | |

| 68 9. TERMINATION. This Agreement shall automatically terminate upon failure | |
| 69 by you to comply with its terms. | |

| 71 10. ENTIRE AGREEMENT. This is the entire agreement between you and | |
| 72 IncentivesPro which supersedes any prior agreement or understanding, | |
| 73 whether written or oral, relating to the subject matter of this license. | |
